Terms of Service

1. Who we are

NorthStar Digital Growth is a trading name of Eminere Ventures, a sole proprietorship based in Bengaluru, Karnataka, India ("we", "us", "our"). You can contact us at northstardigitalgrowth@gmail.com.

In these terms, "you" means the business or person using our website or buying our services.

2. These terms

These terms apply when you use www.northstardigitalgrowth.com, request a free audit, or buy any of our services. Each project also has a written quote or proposal describing its scope, price and timeline. If the quote and these terms disagree, the quote wins for that project.

By accepting a quote, paying an invoice, or using our website, you agree to these terms. Our services are provided to businesses and professionals, not to consumers buying for personal use.

3. Our services

Depending on what you choose, we provide:

• Website design and development, including copywriting, set-up and launch.
• Google Business Profile set-up, optimisation and ongoing management.
• Lead capture and follow-up systems, such as forms, call and messaging buttons, lead sheets and notifications.
• LinkedIn company page set-up and content, where included in your quote.
• Domain registration, hosting, maintenance and support, where included in your quote.

Anything not listed in your quote is outside the project's scope. We're happy to quote for extra work separately before doing it.

4. The free audit

The Lead Leak Audit is free, with no obligation to buy anything. We aim to deliver it by email within 48 hours of your request, on working days. It's based on publicly visible information about your business, such as your website and Google Business Profile, at the time we review it.

The audit is our professional opinion and recommendations. You're free to act on it yourself, with us, or with anyone else. We may decline an audit request, for example if the business is outside the markets we serve.

5. Quotes and payment

• Quotes are valid for 30 days from the date they're sent.
• Unless your quote says otherwise, projects are paid 50% before work starts and 50% before the website goes live.
• Invoices are due within 7 days. Prices are shown in the currency on your quote, and any applicable taxes are added where required.
• If an invoice is overdue by more than 14 days, we may pause work or take a website offline until it's paid. We'll always tell you in writing first.
• Deposits cover time we've reserved and work already started, so they're non-refundable once work has begun.

6. Monthly services

Ongoing services, such as Google Business Profile management, maintenance or hosting after any included period, are billed monthly in advance. They continue month to month until either of us gives 30 days' written notice. There's no refund for a month that has already started, and the service continues until the end of the notice period.

7. What we need from you

To deliver on time, we rely on you to:

• Give us accurate information about your business, services and prices.
• Provide logins or access to your domain, hosting, Google Business Profile and other accounts when we ask for them.
• Review and approve work, usually within 5 working days.
• Make sure any content you give us (text, photos, logos, reviews) is yours to use or you have permission to use it.
• Keep your business details truthful, and comply with the rules of the platforms we set up for you, including Google's guidelines.

You're responsible for the accuracy of your own content, and for any legal requirements specific to your industry, such as professional regulations or required disclosures.

8. Timelines and revisions

We'll agree a timeline in your quote. Most websites go live in about 14 days after we receive your content and access. Timelines move if feedback, content or access arrives late.

Each project includes two rounds of revisions on the design and copy before launch, unless your quote says otherwise. Extra rounds, or changes that go beyond the agreed scope, are quoted and charged separately.

If a project is on hold for more than 30 days because we're waiting on you, we may close it and invoice for work completed. We'll be happy to restart it later.

9. Ownership

Once you've paid for a project in full, you own the finished website design, the copy we wrote for you, and your domain name. Your Google Business Profile, LinkedIn page and other accounts are always in your name and remain yours.

We keep ownership of our own general tools, templates, code libraries and know-how that we use across projects. You get a permanent licence to use them as part of your website. Third-party items, such as fonts, stock images, plugins or themes, stay subject to their own licences.

Unless you ask us not to, we may show your finished website and a short description of the project in our portfolio and marketing.

10. Results and Google

We design everything to increase your visibility and enquiries, and we report on results honestly. But results depend on things outside our control, including Google's algorithms, competition in your area, your reviews and how you follow up on enquiries. For that reason we don't guarantee any specific ranking, number of leads or revenue.

Google, not us, decides whether a Business Profile is verified, suspended or ranked. We follow Google's guidelines in our work, and we're not responsible for decisions Google makes about your profile.

11. Third-party services

Our work often uses services from other companies, such as Google, domain registrars, hosting providers, form and email tools. Their own terms and prices apply, and they can change them. We're not responsible for their outages, policy changes or price rises, but we'll help you deal with them.

12. Hosting, maintenance and support

Where your quote includes hosting, maintenance and support for a set period (for example, one year), it covers keeping your site online, updated, secure and backed up, plus small content edits. New pages, redesigns or new features are quoted separately.

Before an included period ends, we'll tell you the renewal price. If you don't renew, we'll help you move your website and domain to a provider of your choice.

13. Confidentiality and data

We keep your business information, logins and customer data confidential, and use them only to deliver our services. We only request the access we need, and you can remove it at any time.

Where we set up forms or lead systems that collect your customers' details, you're responsible for having a privacy notice and a lawful reason to collect that data. We handle it only on your instructions. How we handle personal data submitted on our own website is described in our Privacy Policy.

14. Liability

We'll carry out our services with reasonable skill and care. To the extent the law allows:

• We're not liable for indirect or consequential losses, such as lost profits, lost business or lost data.
• Our total liability for any claim relating to a project is limited to the amount you paid us for that project, or for monthly services, the fees you paid in the three months before the claim.

Nothing in these terms limits liability that cannot legally be limited.

15. Ending our work together

Either of us may end a project by giving written notice. If you end a project early, you pay for work completed up to that date, and the deposit is not refunded. If we end it without a good reason, we'll refund any payment for work we haven't done.

Either of us may end the agreement straight away if the other seriously breaks these terms and doesn't fix it within 14 days of being asked. When our work ends, we'll hand over your files and account access once all invoices are paid.

16. Using this website

The content, design and code of this website belong to Eminere Ventures. You may not copy or reuse them without our written permission. Please don't misuse the website, for example by submitting false information, spam or harmful code through our forms.

Information on this website, including the savings calculator, is general and for guidance only. Estimates are based on the numbers you enter and are not a promise of results.

17. Governing law

These terms are governed by the laws of India. Any dispute will be handled by the courts of Bengaluru, Karnataka. Before going to court, we'll both try in good faith to settle any disagreement by talking it through.

18. Changes and contact

We may update these terms from time to time. The version on this page, with its "last updated" date, applies to new projects. Changes won't affect a project you've already agreed, unless we both agree in writing.
